Copyright Rights, Proprietary Rights and Confidential Information: You acknowledge and agree that all design elements of the Portal (including without limitation all text, design, graphics, drawings, photographs, video clips, music and sounds, and all trademarks, service marks and trade names used in the Portal, and the selection and arrangements thereof including all “look and feel” attributes of the Portal), and all data, information, content, materials, software, products, links and services which are included, available through, or obtained from, the Portal (collectively, the “Portal Materials”) are protected by copyrights, trademarks, service marks, patents, trade secrets, and/or other proprietary rights, and/or laws. As between You and CIIPA, all Portal Materials shall be and remain the exclusive property of CIIPA. If You are a registered CIIPA participant, You are permitted to use CIIPA’s name solely to identify Yourself as a CIIPA participant. Other than the limited right to use CIIPA’s name as set forth in the prior sentence, You agree that You will not, without prior written consent of CIIPA, use in advertising, publicity or otherwise, the CIIPA name or any other trademark, service mark, trade name, logo or other commercial designation of CIIPA or its third party licensors.
HIPAA Terms and Conditions:
“HIPAA” shall mean Section 262 of the Health Insurance Portability and Accountability Act, P.L. 104-191, which governs the use and transmission of individually identifiable health information.
“Legal Requirement” shall mean any law or regulation affecting the use or disclosure of Protected Health Information or Personally Identifiable Information.
“Protected Health Information” or “PHI” shall mean any Protected Health Information as defined in HIPAA or any similar information obtained from individuals as a result of the Customer providing products or services.
“Personally Identifiable Information” or “PII” shall mean any information that, alone or in combination with other information, can be used to identify, contact or located an individual.
Security and Confidentiality: You acknowledge that PHI and PII require special safeguarding and agree to abide by all applicable rules, laws and regulations, including those of Your company, state, and HIPAA, regarding the protection and disclosure of PHI and PII.
Safeguards: You agree that it is Your responsibility to implement, and ensure Your Agents implement, commercially reasonable and appropriate administrative, technical and physical safeguards to protect the confidentiality, integrity and availability of all PHI and PII accessible through the Portal.
Security Breaches: You agree to immediately report any actual, attempted, or reasonably suspected unauthorized access to or acquisition, use, loss, destruction, alteration, compromise or disclosure of, any PHI or PHI associated with Your or Your Agents’ account(s) or use of the Portal or Portal Materials (“Security Breach”) to CIIPA at: 1-800-381-6140; firstname.lastname@example.org. You shall bear the cost and liability for any Security Breaches caused by You or Your Agents. In the event of a Security Breach, CIIPA will make the final determination regarding whether the risk of harm requires notification of affected individual persons and/or the general public (including the contents of such notice) and/or other remedies, and You agree to reimburse CIIPA for any such notifications and related costs.
You agree that in the event of a Security Breach, or if CIIPA determines or has a reasonable belief that such a Security Breach has occurred or may occur, You will fully cooperate with CIIPA in connection with any investigation, reporting or remediation efforts related thereto.
Disclaimer of Warranties: THE PORTAL AND ALL PORTAL MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” THE PORTAL AND PORTAL MATERIALS ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. CIIPA DOES NOT WARRANT THAT THE PORTAL OR PORTAL MATERIALS ARE ACCURATE, COMPLETE OR CORRECT; THAT THE PORTAL OR PORTAL MATERIALS WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE PORTAL OR PORTAL MATERIALS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR AND YOUR AGENTS’ USE OF THE PORTAL AND PORTAL MATERIALS IS SOLELY AT YOUR/YOUR AGENTS’ RISK. BECAUSE SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF CERTAIN WARRANTIES, THESE EXCLUSIONS MAY NOT APPLY TO YOU.
Viruses: You agree that You are aware of the risks associated with the fabrication and proliferation of computer viruses affecting the Internet, and that it is Your responsibility to scan any and all downloaded or viewed materials received from the Internet on Your desktop, mobile, tablet or other related device. CIIPA is not responsible or liable for any damage caused by such hazards.
User Content, Licenses and Idea Submissions: You and/or Your Agents may submit, post or provide materials, information and/or other content through the Portal, including without limitation, ideas contained therein for new or improved products or services, and other feedback (collectively, and regardless of the means, media or format, “User Content”). You understand that all User Content is Your sole responsibility. Under no circumstances will CIIPA be liable in any way for any User Content, including, but not limited to, any errors or omissions in any User Content, or for any loss or damage of any kind incurred as a result of the use of any User Content posted, emailed or otherwise transmitted through the Portal. CIIPA cannot guarantee that other users will not access, use or misuse the User Content. You agree that neither You nor Your Agents will rely on the Portal for the purposes of User Content backup or storage. CIIPA will not be liable to You or Your Agents for any modification, suspension, or discontinuation of the Portal or related services, or the loss of or damage to any User Content. You and Your Agents are strongly encouraged to maintain Your/their own backup of User Content.
Privacy: The only personal information CIIPA collects through the Portal is the information You voluntarily provide. The only other type of information CIIPA collects is Your current IP address. This IP address is a number that is assigned to Your computer when You access the Internet. It is necessary to allow communication between the different computers, which comprise the Internet. This information is entered, in aggregate, into a log, which helps us track usage of the Portal.
International Use: CIIPA makes no representation that the Portal or Portal Materials are appropriate or available for use in locations outside the United States, and accessing them from territories where their contents are illegal is prohibited. Those who choose to access the Portal or Portal Materials from other locations do so on their own initiative and are responsible for compliance with local laws.
Force Majeure: CIIPA shall not be responsible for any damages, delay in performance or failure to perform hereunder caused by or resulting from acts or occurrences beyond its reasonable control including, but not limited to, strikes or other labor disputes, riots or other civil disturbance, internet or communication failures, embargoes, government regulations or requirements (executive, legislative, judicial, military or otherwise), power failure, electrical surges or current fluctuations, lightning, earthquake, flood, war, water, the elements, or other forces of nature, delays or failures of transportation, equipment shortages or suppliers’ failures.
Termination: CIIPA reserves the right, in its sole discretion, to cease providing or making available the Portal at any time, or to terminate Your access to all or part of the Portal or Portal Materials, with or without notice, at any time and without any penalty.
Rules of Use: By posting information in or otherwise using any communications service, chat room, message board, newsgroup, software library, or other interactive service that may be available to You through the Portal, You agree that You will not harvest or collect information about the users or members of the Portal or use such information for the purpose of transmitting or facilitating transmission of unsolicited bulk electronic e-mail or communications.
You also agree to the following security safeguards when using the Portal.
Accounts are not to be shared.
Passwords must be protected.
If You think Your account has been compromised, You MUST change Your password and notify CIIPA immediately using the content information provided below.
You should not connect to the Portal over public or unknown networks (e.g., Optimum WiFi, Starbucks, or internet cafes).
Additionally, You agree that You will not upload, post, or otherwise distribute or facilitate distribution of any content—including text, communications, software, images, sounds, data, or other information—that:
Is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, contains explicit or graphic descriptions or accounts of sexual acts (including, but not limited to, sexual language of a violent or threatening nature directed at another individual or group of individuals), or otherwise violates the rules or policies of CIIPA or its Affiliates.
Victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability.
Infringes on any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party.
Constitutes unauthorized or unsolicited advertising, junk or bulk e-mail (also known as “spamming”), chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.
Contains software viruses or any other computer code, files, or programs that are designed or intended to disrupt, disable, overburden, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of any third party.
Impersonates any person or entity, including any employee or representative of CIIPA or its Affiliates, or use or attempt to use another’s account, password, service, system or other information without prior written authorization.
Interferes with the security of, or otherwise abuse, the Portal or any services, system resources, accounts, servers or networks connected to or accessible through the Portal or associated or linked services.
Attempts to obtain unauthorized access to any restricted service or portions of the Portal or Portal Materials which are restricted from general access.
CIIPA shall not be responsible for, and generally does not, pre-screen, monitor, or edit the content posted by users of communications services, chat rooms, message boards, newsgroups, software libraries, or other interactive services that may be available through the Portal. However, CIIPA has the right, at its sole discretion, to remove any content that, in CIIPA’s sole judgment, does not comply with the foregoing Rules of Use or is otherwise harmful, objectionable, or inaccurate. CIIPA is not responsible for any failure or delay in such removal.
Additional Terms and Conditions Relating to CMS Data:
As a result of Your participation in the ACO, You may be provided with copies of and/or access to CMS Data, which may include but may not be limited to HIGLAS – Payment Data; NLR – Meaningful Use Data; RAS – Risk Adjustment Data; CAHPS – Beneficiary Survey Data; GPRO – Quality Measurement Data; NPICS – NPI Crosswalk; PECOS – Provider Enrollment Data; CMS – Beneficiary Enrollment Data; and IDR – Parts A, B, and D Claims. “CMS Data” also includes any derivative file(s), including files that directly identify individuals or that directly identify bidding firms and/or such firms’ proprietary, confidential or specific bidding information, and files that contain direct individual identifiers or elements that can be used in concert with other information to identify individuals.
You may not access any CMS Data unless You are an ACO participant and have been expressly granted access rights to such CMS Data by CIIPA (an “Authorized User”). If You are an Authorized User, You may only access and view CMS Data solely for purposes relating to Your participation in the ACO, for clinical treatment, care management and coordination, quality improvement activities, provider incentive design and implementation, and to otherwise enable the ACO to improve care integration and be a patient-centered organization, all in support of Your participation in the Medicare Shared Savings Program. You agree that Your access to and use of the CMS Data will be on a need-to-know basis and will be limited to the minimum amount of data and minimum number of individuals necessary to achieve the intended purpose of such access or use. Further, You shall in any event limit disclosure of CMS Data to the established Privacy Act “routine uses,” which are categories established by the Privacy Act which dictate the types of uses under which data can be disclosed. You agree that CMS retains all ownership rights to CMS Data and that You do not obtain any right, title, or interest in any CMS Data. You agree not to disclose, use or reuse the CMS Data in an unlawful manner. You agree to protect the privacy and confidentiality of the CMS data, including by establishing appropriate administrative, technical, and physical safeguards to protect the confidentiality of the data and to prevent unauthorized use or access to it.
Further, You agree that You will only view, and will not download, copy, print, save, link or otherwise process CMS Data. You also agree to provide the ACO with written certification that You have not downloaded, copied, printed or otherwise saved CMS Data within 30 days of the ACO’s transmittal of a notice of a request to provide such written certification.
